⚠ Important Risk Warning: Trading in financial instruments — including crypto derivatives and Indian equities — involves a high degree of risk. You may lose some or all of your invested capital. These Terms & Conditions contain important limitations of liability. Please read the entire document before using the platform.

1 Definitions

In these Terms and Conditions, the following terms shall have the meanings set out below:

"Platform" means the JoNeTree Algo website, application, APIs, and all related services operated by JoNeTree Algo.
"User" / "You" / "Your" means any person who accesses, registers on, or uses the Platform in any capacity.
"Company" / "We" / "Us" means JoNeTree Algo, the entity operating the Platform.
"Strategy" means an algorithmic trading strategy listed on the Platform's strategy leaderboard.
"Copy Trading" means the automated replication of Strategy signals in your connected brokerage account.
"Brokerage" means the platform service fee charged at 0.3% of net profit on each profitable trade closed on your account.
"Wallet" means the in-platform credit balance used to settle Brokerage charges.
"Broker Account" means the external brokerage account (Delta Exchange, Dhan, or other supported brokers) connected by the User to the Platform.
"Paper Trading" means simulated trading with a virtual corpus, not involving real capital.
"Signal" means a buy or sell instruction generated by a Strategy and transmitted to the Platform via webhook.

2 Acceptance of Terms

By accessing, registering on, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, our Privacy Policy, and any additional policies or guidelines published on the Platform.

If you do not agree to any part of these Terms, you must immediately cease all use of the Platform and close your account. Continued use of the Platform following any amendment to these Terms constitutes your acceptance of the amended Terms.

During account registration, you will be explicitly asked to confirm your acceptance of these Terms by checking an acknowledgement checkbox. This act of confirmation creates a binding agreement between you and the Company.

3 Eligibility

To use the Platform, you must meet all of the following eligibility criteria:

Be at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is higher).
Have the legal capacity to enter into a binding contract under applicable law.
Not be a resident of any jurisdiction where accessing or using the Platform is prohibited by applicable law or regulation.
Not be a person who has previously been banned or suspended from the Platform by the Company.
Comply with all applicable laws and regulations relating to trading in financial instruments in your jurisdiction.

The Platform is a technology service, not a regulated financial adviser. It is your responsibility to ensure that your use of the Platform complies with all laws applicable in your jurisdiction, including but not limited to regulations issued by SEBI (Securities and Exchange Board of India), RBI (Reserve Bank of India), and any relevant foreign financial regulators.

4 Account Registration and Security

The Platform uses Google OAuth 2.0 for authentication. By signing in with your Google account, you authorise the Platform to access your Google profile information (name, email address, and profile picture) for the sole purpose of creating and managing your Platform account.

You are responsible for:

Maintaining the security of your Google account credentials.
All activities that occur under your Platform account, whether authorised by you or not.
Notifying the Company immediately if you suspect any unauthorised use of your account.
Ensuring that your account information remains accurate and up to date.

The Company reserves the right to suspend or terminate any account that it reasonably suspects is being used fraudulently, in violation of these Terms, or in a manner that may harm other users or the Platform.

You may not share your account credentials, transfer your account to any other person, or operate multiple accounts for the same individual. Each account is personal and non-transferable.

5 Subscription Plans and Wallet System

The Platform offers multiple subscription tiers (Free, Silver, Gold, Platinum) that determine the number of Strategies you may follow simultaneously and access to additional platform features.

Subscription fees, where applicable, are charged in advance on a monthly basis and are non-refundable once a billing period has commenced. Subscription fees are separate from and in addition to Brokerage charges.

The Wallet is your in-platform credit balance used exclusively to pay Brokerage fees. Wallet credits may be added via Razorpay (UPI, credit/debit cards, net banking). Wallet credits:

Are non-transferable between accounts.
Are not withdrawable as cash once deposited (credits are consumed by Brokerage charges only).
Do not expire, subject to account remaining active.
Are non-refundable once deposited, except in cases of technical error verified by the Company.

If your Wallet balance becomes negative (e.g., due to a Brokerage adjustment), live trade execution may be suspended until the Wallet balance is restored to a non-negative value. The Company will notify you via the dashboard when your Wallet balance is low.

The Company reserves the right to modify subscription tier features, pricing, and limits upon 30 days' notice. Continued use of the Platform after such notice constitutes acceptance of the new terms.

6 Brokerage Model

JoNeTree Algo charges a platform service fee ("Brokerage") of 0.3% of net profit on each profitable trade closed on your connected Broker Account through the Platform.

Brokerage is calculated on the net realised profit per trade (entry price to exit price, multiplied by quantity).
No Brokerage is charged on losing trades. If a trade results in a net loss, Brokerage for that trade is ₹0.00.
Brokerage is deducted from your Wallet balance immediately upon trade closure by the Platform's brokerage settlement service.
The 0.3% Brokerage rate applies uniformly across all subscription tiers and all supported markets.
The Company reserves the right to modify the Brokerage rate upon 30 days' advance notice to users.

In addition to the Platform's Brokerage, your external broker (Delta Exchange, Dhan, or other) may charge their own trading fees, exchange levies, and taxes independently. The Company has no control over and is not responsible for third-party broker fees.

The Platform's Brokerage is a platform service fee only, not a financial advisory fee, fund management fee, or regulated brokerage as defined under applicable securities law.

7 Risk Disclosure

Trading in financial instruments carries a high risk of financial loss. You should only trade with money you can afford to lose.

Past performance of any Strategy displayed on the Platform is not indicative of future results. Historical profit metrics, win rates, and drawdown figures are informational only and must not be relied upon as guarantees or predictions of future performance.
Algorithmic strategies may perform differently under different market conditions. Market volatility, liquidity gaps, exchange outages, and other unforeseen events may cause Strategies to perform significantly worse than historical metrics suggest.
Leverage amplifies both gains and losses. Trading crypto derivatives or leveraged equity products can result in losses exceeding your initial deposit.
The Platform provides automated execution technology; it does not provide personalised investment advice, portfolio management, or financial planning services.
Execution delays, API rate limits, internet connectivity issues, or third-party broker outages may result in Signals not being executed as intended. The Company is not liable for losses arising from execution failures caused by factors outside its direct control.
Cryptocurrency markets operate 24 hours a day, 7 days a week. Prices can move substantially during periods when you are not monitoring the Platform.
Regulatory changes in India or other jurisdictions may affect your ability to trade certain instruments or use the Platform.

You acknowledge that you have read and understood this risk disclosure and that you accept all risks associated with using the Platform for trading purposes.

8 Platform Services

The Platform provides the following services:

Strategy Discovery: Access to a curated leaderboard of algorithmic trading strategies with live performance metrics.
Copy Trading Execution: Automated replication of Strategy signals in your connected Broker Account.
Paper Trading: Simulated trading with a virtual corpus for testing strategies without real capital risk.
Portfolio Dashboard: Real-time P&L monitoring, position tracking, and trade history.
Risk Controls: Daily loss limits, position size controls, and kill-switch functionality.
Wallet Management: Wallet top-up via Razorpay and Brokerage settlement.

The Platform is provided on an "as-is" and "as-available" basis. The Company does not warrant uninterrupted, error-free, or secure operation of the Platform. Scheduled maintenance, unexpected outages, and third-party service failures may cause temporary unavailability.

The Company reserves the right to modify, suspend, or discontinue any feature or service with or without notice, provided that reasonable efforts are made to notify affected users in advance of material changes.

9 User Obligations

As a User of the Platform, you agree to:

Use the Platform only for lawful purposes and in compliance with all applicable laws and regulations.
Not attempt to reverse engineer, decompile, disassemble, or exploit any portion of the Platform's source code, algorithms, or infrastructure.
Not use automated scraping, bots, or data harvesting tools to extract data from the Platform beyond what is provided through official API access.
Not share, sell, or redistribute Strategy performance data or Platform data to third parties for commercial purposes without explicit written consent from the Company.
Not attempt to manipulate, disrupt, or interfere with the Platform's operations, including its Strategy performance metrics or other users' trading activity.
Keep your Wallet balance sufficient to cover expected Brokerage charges. The Company is not responsible for missed brokerage deductions due to insufficient Wallet balance.
Promptly update your account information if it changes.
Not impersonate any other person or entity when using the Platform.

Breach of any User obligation may result in immediate account suspension or termination, forfeiture of any Wallet balance, and potential legal action.

10 Broker Integration and API Credentials

To execute live trades, you must connect a supported external Broker Account (Delta Exchange, Dhan, or other supported brokers) by providing API credentials (API key and secret) to the Platform.

By providing your Broker API credentials:

You authorise the Platform to place trade orders on your behalf on the connected Broker Account.
You acknowledge that the Platform will only place orders for instruments and in directions specified by Strategies you have chosen to follow.
You understand that API credentials are stored encrypted (Fernet symmetric encryption) on the Platform's servers and are never shared with third parties except your broker's API endpoint for order placement.
You accept sole responsibility for the financial consequences of all orders placed through the Platform on your Broker Account.
You agree to use only API keys with the minimum permissions required for trading (order placement, position query). You must not provide API keys with withdrawal permissions.

The Company is not responsible for losses arising from the use of incorrect, expired, or revoked API credentials. You are responsible for revoking Platform API access from your broker if you wish to disconnect the integration.

11 Intellectual Property

All content on the Platform, including but not limited to the software, algorithms, design, text, graphics, logos, strategy metrics, and APIs, is the exclusive intellectual property of the Company or its licensors and is protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform solely for your personal trading purposes in accordance with these Terms. This licence does not permit you to:

Copy, reproduce, distribute, or create derivative works from Platform content.
Commercially exploit any Platform content or data.
Remove any copyright, trademark, or proprietary notices from Platform content.

The JoNeTree Algo name, logo, and associated trademarks are the property of the Company. Unauthorised use of these marks is prohibited.

12 Limitation of Liability

To the fullest extent permitted by applicable law:

The Company shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Platform, including but not limited to trading losses, loss of profits, loss of data, or business interruption.
The Company's total aggregate liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the total Brokerage fees paid by you to the Company in the 90-day period immediately preceding the event giving rise to the claim.
The Company is not liable for losses caused by: market conditions, third-party broker failures, exchange outages, internet connectivity issues, force majeure events, regulatory actions, or the performance (or underperformance) of any Strategy.
The Company does not guarantee the accuracy, completeness, or timeliness of Strategy performance data, market data, or any other information displayed on the Platform.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such cases, the Company's liability is limited to the minimum extent permitted by law.

13 Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

Your use of the Platform in violation of these Terms.
Your violation of any applicable law or regulation.
Your infringement of any third-party rights, including intellectual property rights.
Any content or information you provide to the Platform.
Trading losses or disputes arising from your connected Broker Account.

14 Privacy and Data Protection

The Company collects and processes your personal data (name, email address, profile picture) received from Google OAuth, your trade history on the Platform (not your external broker's complete history), Wallet transaction records, and usage analytics.

Your data is used solely for operating and improving the Platform services, communicating with you about your account, processing Brokerage charges and Wallet transactions, and complying with legal obligations.

The Company does not sell, rent, or share your personal data with third parties for marketing purposes. Data is shared only with: Razorpay (for payment processing), your connected broker's API (for trade execution), and cloud infrastructure providers under data processing agreements.

Your Broker API credentials are encrypted at rest and never stored in plain text. The Company does not access or transmit your broker credentials beyond the minimum necessary for trade execution.

You have the right to request deletion of your account and associated personal data by contacting the Company. Account deletion will result in forfeiture of any remaining Wallet balance.

15 Termination

You may terminate your account at any time by contacting the Company. Upon termination, all Platform licences granted to you will cease immediately. Any outstanding Brokerage due from your Wallet balance will be settled before account closure.

The Company reserves the right to terminate or suspend your account with immediate effect, without notice or liability, if:

You breach any provision of these Terms.
The Company is required to do so by law or regulatory order.
The Company determines, in its sole discretion, that your use of the Platform poses a risk to other users, the Platform's integrity, or the Company's interests.
Your Wallet balance remains negative for an extended period and you fail to top up after repeated notifications.

Upon termination, your access to the Platform will be revoked. Wallet balances remaining after settling all outstanding Brokerage charges are non-refundable following voluntary account closure or termination for breach.

16 Dispute Resolution

In the event of any dispute, controversy, or claim arising from or in connection with these Terms or the Platform, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation. You agree to contact the Company at the support channels provided in Section 19 before initiating any formal legal proceedings.

If the dispute cannot be resolved through negotiation within 30 days of written notice, the dispute shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be [City, India]. The language of arbitration shall be English.

Notwithstanding the above, either party may seek interim or injunctive relief from a competent court where such relief is necessary to prevent irreparable harm.

17 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to the arbitration clause in Section 16, you consent to the exclusive jurisdiction of the courts of [City, India] for any disputes not subject to arbitration.

18 Amendments to These Terms

The Company reserves the right to modify these Terms and Conditions at any time. When changes are made:

The updated Terms will be published on the Platform with a new "Last Updated" date.
For material changes, registered users will be notified via the Platform dashboard or email.
Continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the new Terms.
If you do not agree with amended Terms, you must discontinue use of the Platform and may request account closure.
